1. The Platform

ZAINEX provides a simulated ("paper") trading environment, AI-generated market signals through InteliBrain, strategy tiers with fixed or variable payout rates, an internal AI-credit system, and wallet utilities such as top-ups and cash-outs. Unless a specific feature is explicitly labeled as live or real-money execution, positions, orders, and strategy payouts on the Platform are simulated and do not represent trades placed on any real exchange.

InteliBrain signals and any AI-generated commentary are provided for informational and educational purposes only. They are not financial, investment, tax, or legal advice, and ZAINEX does not guarantee their accuracy, completeness, or profitability. You are solely responsible for any decision you make based on information from the Platform.

2. Eligibility & Accounts

You must be at least 18 years old and legally capable of entering into a binding agreement to use ZAINEX. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

3. Wallet, AI Credits & Payments

Your ZAINEX wallet balance reflects funds you have topped up through a supported payment method (including merchant cash-in and cryptocurrency payment channels). Topped-up funds may be allocated to a strategy, converted to AI credits, or withdrawn through a cash-out request, subject to review.

• AI credits are an internal utility unit used to unlock VIP strategy tiers. Credits are not currency, are non-transferable except through the Platform's credit-transfer feature, and have no value outside ZAINEX.
• Strategy payouts are computed by the Platform's simulated accrual engine according to the rate and schedule published for each tier at the time of activation, and may change for future activations.
• Cash-out requests are reviewed before funds are released and may be delayed, limited, or declined where required for fraud prevention, compliance, or verification purposes.
• Completed top-ups and credit conversions are final. We do not provide refunds except where required by law or at our sole discretion.

4. VIP Subscriptions & Referrals

VIP tiers unlock a fixed simulated payout rate for a billing period you select (monthly or annual). Subscriptions do not renew automatically unless explicitly stated at checkout; it is your responsibility to reactivate before a tier expires if you want to keep its rate.

The referral program credits a percentage of a referred user's qualifying activity to your wallet or credit balance, up to three levels deep, as described on the Rewards page. We may adjust referral rates, levels, or eligibility at any time on a forward-looking basis.

5. Prohibited Conduct

You agree not to:

• Use the Platform for money laundering, fraud, or any unlawful purpose;
• Attempt to manipulate the simulated markets, referral system, or credit ledger;
• Circumvent, disable, or interfere with security features or rate limits;
• Operate multiple accounts to abuse referral or promotional mechanics;
• Reverse-engineer, scrape, or resell access to the Platform without our written consent.

We may suspend or terminate accounts that violate these Terms, and may withhold or reverse wallet, credit, or referral activity connected to the violation.

6. Intellectual Property

ZAINEX, its logo, InteliBrain, and all associated software, design, and content are owned by ZAINEX or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. No other rights are granted.

7. Disclaimers & Limitation of Liability

The Platform is provided "as is" without warranties of any kind. To the fullest extent permitted by law, ZAINEX and its team are not liable for indirect, incidental, or consequential damages, or for losses arising from simulated trading outcomes, third-party payment processing delays, or reliance on AI-generated signals.

8. Termination

You may stop using the Platform at any time. We may suspend or terminate your access for breach of these Terms, suspected fraud, or as required by law, with or without notice where circumstances require it.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the date above. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles.
